About this tool

A mutual NDA protects both sides, which suits early talks about working together. A one-way NDA protects only the side sharing information, for example when you show a supplier or investor your plans. The agreement covers what counts as confidential information, how it may be used and shared, the usual exceptions (public information, information already known, legal requirements), returning or destroying it, remedies for a breach, how long it lasts and which law applies.

Choosing Scotland switches the wording to Scots law terms such as interdict, and refers to the Contract (Third Party Rights) (Scotland) Act 2017 instead of the 1999 Act used in England, Wales and Northern Ireland. Anything you leave blank shows as a highlighted [placeholder] in the preview, so you can see what still needs filling in.
